1. Agreement to Terms

By accessing or using the website, platform, and services ("Services") provided by KODA SOFTWARE SL ("Baker", "we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use our Services.

2. Use of Services

Baker provides AI-powered performance marketing services, including campaign management, creative generation, competitor analysis, landing page creation, A/B testing, bid optimization, and reporting. You agree to use the Services only for lawful purposes and in accordance with these Terms.

You may not:

• Use the Services for any illegal or unauthorized purpose
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to any part of the Services
• Use the Services to transmit harmful, offensive, or misleading content
• Reverse engineer, decompile, or disassemble any part of the platform

3. Account Terms

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Baker immediately of any unauthorized use of your account.

You must provide accurate, complete, and current information during registration and keep your account information updated.

4. Payment & Billing

Certain Services require payment. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated.

Baker reserves the right to change pricing at any time. Changes will be communicated in advance and will take effect at the start of your next billing cycle.

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and AI models — are the exclusive property of Baker or its licensors and are protected by intellectual property laws.

Content generated by our AI agents for your campaigns (ad creatives, landing pages, copy) is licensed to you for use in connection with your marketing activities. Baker retains the right to use anonymized, aggregated data to improve its Services.

6. Limitation of Liability

To the maximum extent permitted by law, Baker shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Baker's total liability for any claim arising under these Terms shall not exceed the amount you paid to Baker in the twelve (12) months preceding the claim.

7. Termination

Either party may terminate the agreement at any time by providing written notice. Baker may suspend or terminate your access to the Services immediately if you breach these Terms or engage in conduct that Baker deems harmful to other users or the Services.

Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination will remain in effect.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Spain.

9. Changes to Terms

Baker reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, through email or in-app notifications. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
